Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Zero Dev LLC, a Florida limited liability company (“Company,” “we,” “us,” or “our”), governing your access to and use of the ZeroTerminal platform available at zeroterminal.io and any associated services (collectively, the “Service”).

By creating an account, connecting a brokerage account, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least eighteen (18) years of age and a legal resident of the United States to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. The Service is not intended for use by individuals outside the United States.

3. Account Registration

You must create an account through our authentication provider (Clerk) to access the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@zeroterminal.io if you become aware of any unauthorized use of your account.

4. Description of Service

ZeroTerminal is a portfolio intelligence platform that aggregates data from your connected brokerage accounts and third-party sources into a unified workspace. The Service may include:

Portfolio position tracking and account aggregation via brokerage API connections (currently Schwab and TradeStation, with additional brokers planned)
Corporate actions calendars and SEC filing alerts
Margin analysis and risk exposure data derived from your broker-reported account information
Curated social media content from X (Twitter) scoped to your portfolio positions
AI-powered analysis and summaries generated by third-party large language models (xAI/Grok)
News aggregation relevant to your holdings

The specific features available to you depend on your subscription tier. Feature availability may change as we develop the platform.

5. Brokerage Account Connections

5.1 Read-Only Access

The Service connects to your brokerage accounts exclusively in read-only mode. ZeroTerminal cannot and will not execute trades, transfer funds, modify orders, or take any action in your brokerage account. We access only the data necessary to provide the Service, including positions, balances, account information, and margin data.

5.2 OAuth Authorization

Brokerage connections are established via OAuth authorization directly with your broker. We do not store your brokerage login credentials. You may revoke ZeroTerminal's access to your brokerage account at any time through your broker's settings or through the ZeroTerminal Settings page.

5.3 Broker Data Accuracy

All portfolio data, position information, margin figures, and account balances displayed in ZeroTerminal are sourced directly from your broker's API. We display this data as received and do not independently verify its accuracy. Data may be delayed, incomplete, or temporarily unavailable due to broker API limitations, maintenance windows, or connectivity issues. You should always verify critical information directly with your broker.

6. Subscription and Payment

6.1 Subscription Tiers

The Service offers multiple subscription tiers, including a free tier and paid tiers. Current pricing, features, and limits for each tier are displayed on the ZeroTerminal pricing page and within the application. We reserve the right to modify pricing and feature allocations with thirty (30) days' notice to active subscribers.

6.2 Billing

Paid subscriptions are billed on a recurring monthly basis through our payment processor (Stripe). One-time credit pack purchases are also processed through Stripe. All fees are stated in U.S. dollars. You authorize us to charge your selected payment method for all applicable fees.

6.3 Cancellation and Refunds

You may cancel your subscription at any time through the Settings page. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods. Unused credits from one-time purchases do not carry over beyond their stated expiration period.

7. Not Financial, Investment, or Trading Advice

THIS SECTION IS CRITICAL. PLEASE READ IT CAREFULLY.

ZEROTERMINAL IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, FINANCIAL PLANNER, FINANCIAL ANALYST, OR SECURITIES DEALER. NOTHING IN THE SERVICE CONSTITUTES INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, OR ANY OTHER SORT OF ADVICE, AND YOU SHOULD NOT TREAT ANY OF THE SERVICE'S CONTENT AS SUCH.

The Service aggregates data, displays information, and surfaces AI-generated analysis for your convenience. Specifically:

AI-generated content (including but not limited to Grok analysis, summaries, and sentiment indicators) is produced by third-party large language models. This content may be inaccurate, incomplete, outdated, or misleading. AI models can and do produce errors, fabrications, and hallucinations. You must never rely on AI-generated content as the sole basis for any investment or trading decision.
Social media content from X (Twitter) displayed in the Service represents the views and opinions of third-party users, not the views of ZeroTerminal or Zero Dev LLC. Social media content is unverified, may be manipulative, and may constitute market manipulation, pump-and-dump schemes, or other fraudulent activity. We do not endorse, verify, or vouch for any social media content.
Risk metrics, margin analysis, and exposure data are derived from broker-reported information and internal calculations. These figures are approximations and should not be treated as precise or guaranteed. Options Greeks, if displayed, are estimates that may use simplified models and may not reflect actual market conditions.
SEC filing data and corporate actions information are sourced from public databases and third-party providers. While we make reasonable efforts to display accurate information, we do not guarantee the completeness, timeliness, or accuracy of this data.

YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN INVESTMENT AND TRADING DECISIONS. You should consult with a qualified, licensed financial professional before making any investment decisions. Past performance is not indicative of future results. All investments involve risk, including the possible loss of principal.

8. Prohibited Conduct

You agree not to:

Use the Service for any purpose that violates applicable law or regulation
Attempt to reverse-engineer, decompile, or extract source code from the Service
Use automated tools (bots, scrapers, crawlers) to access the Service, except through our documented API if one is provided
Resell, redistribute, or commercially exploit any data obtained through the Service
Interfere with or disrupt the Service, servers, or networks connected to the Service
Circumvent subscription limits, metering, or access controls
Share your account credentials or allow third parties to access the Service through your account
Use the Service to engage in market manipulation or any form of securities fraud

9. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the property of Zero Dev LLC and is protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes in accordance with these Terms.

You retain ownership of your brokerage data and any content you create within the Service. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service.

10. Third-Party Services

The Service integrates with and relies upon third-party services including but not limited to brokerage APIs (Schwab, TradeStation), X (Twitter) API, xAI/Grok, Clerk (authentication), and Stripe (payments). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

If a third-party service experiences downtime, modifies its API, revokes our access, or otherwise becomes unavailable, portions of the Service may be degraded or unavailable. This does not entitle you to a refund or credit unless the core Service is materially unavailable for an extended period, at our sole discretion.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any data, analysis, or content provided through the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZERO DEV LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, TRADING LOSSES, INVESTMENT LOSSES, OR ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO US IN SUBSCRIPTION FEES DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.

This limitation applies regardless of the legal theory on which the claim is based, including negligence, breach of contract, strict liability, or any other theory.

13. Indemnification

You agree to indemnify, defend, and hold harmless Zero Dev LLC, its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your investment or trading decisions, or your violation of any applicable law or regulation.

14. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may request deletion of your account at any time by contacting support@zeroterminal.io. Account deletion is described in our Privacy Policy.

15. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, available at zeroterminal.io/privacy. The Privacy Policy describes how we collect, use, store, and protect your information.

16. Modifications to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least thirty (30) days before they take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Florida. You consent to the personal jurisdiction of such courts.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any subscription-specific terms presented at the time of purchase, constitute the entire agreement between you and Zero Dev LLC regarding the Service and supersede all prior agreements and understandings.
